Article 1 - Name and Seat
The cooperative society with prevalent mutuality called 'Rorhof - social cooperative society' is established with headquarters in the Municipality of Bolzano (BZ).
The Cooperative may establish secondary offices, branches, agencies and representative offices, both in Italy and abroad, in accordance with the law.
For all that is not expressly provided for in these Articles of Association and their implementing regulations, the provisions of the Civil Code and of state and provincial laws on economic and social housing shall apply, as well as the provisions on limited liability companies insofar as they are compatible with the cooperative discipline.
Article 2 - Duration and Membership
The duration of the cooperative society shall run from its legal incorporation until 31.12.2050 and may be extended or terminated earlier by resolution of the members' meeting.
PURPOSE - OBJECT
Article 3 - Purpose
The cooperative acts according to the principles of solidarity and intends to develop integration, assistance, counselling, support for people with disabilities, young people, students, newcomers, marginalised groups, socio-cultural minorities and their social environment with the aim of improving their professional skills, cultural, artistic, social, psychological and personal skills, in accordance with Article 3(2)(a) of RG 24/88 as amended, through the provision of services in the social, socio-medical and educational field, as well as in the cultural field of social interest with educational purposes (social cooperative society type a).
The cooperative intends to set up a common business structure in order to offer consultancy, support, training and services to citizens, institutions, private enterprises and cultural bodies, academic bodies, organisations, municipalities, provincial offices, committees, groups and initiatives through training, research, participatory methods, design and management of cultural activities, democratic, openness and inclusion processes, digital and/or analogue.

In this sense, the cooperative operates according to the principles of solidarity and intends to promote procedures and mechanisms suitable for fostering a social and working learning context for young people and/or professionals working in the arts, people with disabilities, socially disadvantaged and/or disadvantaged groups as well as linguistic, religious, cultural and ethnic minorities of any kind.
A further objective of the cooperative is to set up initiatives and courses aimed at raising awareness of sustainability and/or ecology, creating employment resources for children, young people, adults and the elderly, which are innovative and sustainable in social, economic, cultural and environmental terms, self-managed and in dialogue with the local area, in particular, involving all stakeholders in decision-making processes concerning the development of the local dimension, but in constant dialogue and aimed at an international public and circuit.
In addition, the cooperative will be involved in education, in particular, through active cooperation with public and/or private educational institutions, local, national and/or international bodies devoted to the development of culture, bibliophilic, library, archival, collecting interests, art, museum, exhibition, curatorial, publishing, academic, medical, psychiatric, pedagogical, geriatric, prison, agri-food, commercial, culinary, manufacturing, craft, palliative, rehabilitation and directly involved with activities related to the so-called protected categories.
The cooperative objective is achieved at municipal, regional, national and international level, in particular through the implementation of and participation in educational projects and various initiatives of cultural interest in the leisure, educational and social sector, through and for the benefit of people of all age groups, with all types of physical and/or cognitive abilities, without any discrimination based on age, identity identification, religion and/or socio-economic conditions.
The cooperative pursues its social objectives by drawing on its own resources, voluntary work, service users and organisations with the aim of social solidarity and intends to implement responsible self-management of the cooperative in an autonomous and independent manner. Furthermore, the cooperative aims to offer, within the scope of its activities, non-economic services of general interest.
The aim that the members of the cooperative intend to pursue is to manage in an associated form the activities referred to in Article 4 of these articles of association in order to obtain the best economic, social and professional conditions.
The cooperative may also carry out its activities with non-member third parties.
In order to achieve the social purposes as set forth by law no. 142 of 3.4.2001 and subsequent amendments and additions, the members shall establish with the cooperative a further employment relationship, in subordinate or self-employed form, in the various types provided for by law, or in any other form permitted by Italian law.
The modalities for the performance of the members' work services are governed by a specific regulation approved pursuant to Article 6 of Law no. 142 of 3.4.2001.
Article 4 - Social object
In order to realise its mutual purpose, as defined in Article 3(1) (type a activities) of these statutes, the cooperative intends to carry out the following activities, by way of example but not limited to
The cooperative may perform all legal acts and transactions that are necessary or useful for the realisation of the social and cultural purposes in compliance with the laws in force. It may acquire shareholdings in other enterprises, consortia and associations, for the purpose of stable investment and not for placement on the market, especially if they carry out activities that are similar and in any case accessory to the social activity. The cooperative also aims to set up technological development funds for corporate restructuring or expansion. In particular, the cooperative may enter into contracts to participate in joint cooperative groups, pursuant to Article 2545 - septies of the Italian Civil Code, with the prior authorisation of the shareholders' meeting.
